Vice Chancellor Laster grants Defendants' motion for summary judgment and denies Plaintiffs' motion in the coordinated § 242 Snap / Fox cases, saying that if he were ruling on a clean slate, the outcome may be different, but in light of the guiding precedent, this is the appropriate ruling in his opinion.

The bottom line is that we aren't even going to get a briefing schedule from the parties for probably another couple of weeks, it will stretch out for probably a couple of months, we might even have another oral argument, and then she will have at minimum ninety days, barring any additional similar sequence....

Welp, I suppose it was inevitable!

The first 2.0 suit was filed today in Delaware Court of Chancery—

it was filed under seal against Twitter by John Barnett formerly of Chroma Labs. The complaint will be made public in five business days.

The suit if for declaratory relief and specific performance of a restricted stock agreement, which imma assume was not paid as promised in the merger agreement, RSA, and proxy.
